MaxNova Terms of Service
Last updated: September 16, 2026
Agreement and eligibility
These Terms govern your use of MaxNova, operated by MaxPoints LLC, doing business as MaxPoints (“MaxPoints,” “we,” “us,” or “our”). The Services include business planning, AI-assisted recommendations and naming, membership benefits, and project launch handoffs. By using the Services, you agree to these Terms. You must be at least 18 and legally able to enter this agreement. If acting for an organization, you must have authority to bind it.
Other MaxNova services
A shared MaxAuth account can connect participating MaxNova services, but each service has its own scope, permissions, eligibility, and terms. Signing in does not purchase a subscription or authorize every connected action. The terms for another service apply when you use that service; your accepted order controls its specific scope and billing commitments.
Planning, names, and business decisions
MaxNova helps you describe a problem, explore ideas, organize a business brief, and choose a next step. Recommendations and generated names can be inaccurate, incomplete, or similar to material suggested to others. They are not legal, tax, investment, trademark, or other professional advice. No recommendation guarantees customers, revenue, funding, savings, or business success.
A suggested name or available domain is not trademark clearance or a reservation. You are responsible for checking rights, suitability, and any licenses or approvals needed for your business before relying on a suggestion.
Your brief and launch instructions
You retain ownership of your submitted business information and assets. Submit only information you have authority to share. When you choose to launch a project, you authorize the selected brief and supporting information to be provided to MaxChef and the connected services needed to carry out your instructions. Review the scope and remove unnecessary confidential or personal information before proceeding.
A plan or handoff does not guarantee a finished product or a delivery date. Project creation, required account connections, payment verification, build scope, and service availability determine when work can begin. Material additions to scope may require a separate agreement.
Membership, project plans, and payments
MaxNova Membership and individual project subscriptions are separate purchases. Membership alone does not purchase a build, hosting, a domain, or AI usage. Benefits depend on eligibility, service readiness, and the limits disclosed for each service.
A MaxChef project plan is $49 per month per project, billed monthly, or for active MaxNova members $468 per year per project ($39 per month), billed yearly. There is no setup charge and no minimum term. The plan includes hosting and a cloud worker for that project and renews at the end of each billing period until canceled. Membership is $20 per year and renews yearly; a non-member who chooses yearly project billing buys the membership in the same MaxChef checkout, on the same subscription as the project. Domain registration, AI provider usage, and additional services are charged separately. Prices are before tax. An alternative offer applies only if expressly identified in your order.
Before payment, review the order for scope, included resources, currency, taxes, renewal frequency, and cancellation terms. You authorize the recurring charges you expressly accept at checkout. Cancel through the billing controls for the relevant subscription or request assistance through the contact details below. Canceling membership does not cancel a project subscription, and canceling a project does not cancel membership or a domain renewal.
You may cancel a project plan at any time. Cancellation takes effect immediately: hosting and the cloud worker for that project stop, and the unused part of the billing period you last paid for is refunded, calculated pro rata by time to the payment method you used. A membership bought together with a yearly project plan ends with that plan and its unused part is refunded the same way. A membership bought on its own and one-time purchases such as domain registrations are not refundable except where the law requires. These Terms do not impose an undisclosed early-termination fee or remove mandatory refund or cancellation rights. We will give notice of material price or renewal changes before they apply and obtain consent where required.
Your information, accounts, and rights
You retain ownership of information and materials you provide. You represent that you have the rights and permissions necessary to provide them and request the related processing. You grant MaxPoints a non-exclusive, worldwide, royalty-free license to host, process, reproduce, and transmit them as reasonably necessary to provide, secure, and support the Services, follow your instructions, and comply with law, subject to applicable backup and legal retention requirements.
Provide accurate account information, protect credentials, and promptly report unauthorized activity. You may not access another account or system without authorization, infringe third-party rights, evade safeguards, or interfere with the Services. Any separately applicable open-source license continues to govern the material it covers.
Connected providers and service termination
Third-party integrations are governed by their own terms, permissions, and charges. Only connect accounts and resources you are authorized to use. We may restrict or suspend access for nonpayment, violation of these Terms, legal requirements, or threats to security or other users. Where reasonably practicable, we will give notice of a material suspension or discontinuation.
You may stop using the Services, but must separately cancel any subscriptions or renewals you no longer want under the applicable purchase terms. Export information you need before closing an account. Accrued payment obligations and provisions that by their nature survive termination remain effective. Mandatory consumer rights are preserved.
MaxPoints intellectual property
The Services and the software, designs, text, graphics, logos, documentation, and other materials provided by MaxPoints (“MaxPoints Content”) are owned by MaxPoints or its licensors and are protected by intellectual property and unfair competition laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purposes.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, create derivative works from, or otherwise exploit MaxPoints Content except as expressly permitted by us in writing, by an applicable open-source license, or by law. Nothing in these Terms transfers ownership of MaxPoints intellectual property to you.
Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, INCLUDING INFORMATION AND OUTPUTS, ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MAXPOINTS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR THEIR OUTPUTS WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, ERROR-FREE, OR SUITABLE FOR YOUR NEEDS OR LEGAL REQUIREMENTS.
Some jurisdictions do not allow certain warranty disclaimers, so some exclusions may not apply to you. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MAXPOINTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUCCESSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, CODE, CREDENTIALS, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These limitations do not apply to liability that cannot be limited or excluded under applicable law. Your use of the Services is at your own risk, and you are responsible for the information, permissions, configurations, and instructions you provide and the decisions and actions you take based on the Services.
Governing law and dispute resolution
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, and by applicable federal law, including the Federal Arbitration Act where applicable.
Before starting formal proceedings, you and MaxPoints agree to attempt in good faith to resolve the dispute informally for at least 30 days after one party gives the other written notice. Notices to MaxPoints must be sent to 18121 E Hampden Ave Unit C #1244, Aurora, CO 80013.
If the dispute is not resolved informally, it will be resolved by binding arbitration on an individual basis, except that either party may bring an eligible claim in small claims court or seek injunctive relief for actual or threatened infringement or misuse of intellectual property. The arbitration will take place in Colorado, or remotely if the arbitrator permits, under the Colorado Uniform Arbitration Act and applicable federal law. Each party will be responsible for arbitration fees only to the extent permitted by applicable law and the rules selected by the arbitrator.
Waiver of class actions
To the fullest extent permitted by law, you and MaxPoints agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. If this waiver is found unenforceable for a particular claim, that claim must be resolved by a court of competent jurisdiction and not in arbitration.
Changes to these Terms
We may update these Terms as the Services or legal requirements change. We will revise the last-updated date and provide notice of material changes before they take effect, with additional consent where required by law. Changes do not retroactively alter accepted charges or resolve an existing dispute on new terms. Continued use after the stated effective date constitutes acceptance only to the extent permitted by law.
General terms
These Terms and any applicable accepted order govern the Services. Specific order terms control the scope, price, and duration of that order. Nothing here excludes rights or liability that cannot lawfully be excluded. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.
